PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY BEFORE USING THE INGOT CAPITAL INSURANCE WEBSITE AND PLATFORM. BY ACCESSING OR USING INGOTINSURANCE.COM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Ingot Capital Insurance Inc. ("Ingot Capital," "we," "us," or "our"), a licensed insurance services company. These Terms govern your access to and use of our website, mobile applications, and any related services (collectively, the "Platform").

1. Acceptance of Terms

By creating an account, browsing the Platform, requesting a quote, or otherwise using any portion of the Platform, you:

Represent that you are at least 18 years of age and legally capable of entering into a binding contract;
Agree to comply with these Terms and all applicable federal, state, and local laws and regulations;
Acknowledge that you have read and understood our Privacy Policy, which is incorporated into these Terms by reference;
Consent to receive electronic communications from Ingot Capital Insurance as described in Section 14 below.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Continued use of the Platform following notice of changes constitutes your acceptance of the revised Terms.

2. Description of Services

Ingot Capital Insurance operates as an insurance distribution platform that facilitates connections between consumers and licensed insurance carriers and agents. Through the Platform, we may offer:

Online insurance quote comparison tools;
Insurance policy purchase and enrollment capabilities;
Policy management and document storage services;
Claims reporting and support services;
Educational resources and informational content regarding insurance products.

Ingot Capital Insurance operates as a licensed insurance agency/broker in jurisdictions where required. We are not an insurer. Actual insurance coverage is provided by third-party licensed insurance carriers. All coverage is subject to the terms, conditions, exclusions, and limitations of the applicable insurance policy.

3. Eligibility and Account Registration

3.1 Eligibility

You must be a resident of a U.S. state or territory in which Ingot Capital Insurance is licensed to do business. Our services may not be available in all jurisdictions. By using the Platform, you represent that you meet all applicable eligibility requirements.

3.2 Account Registration

Certain features of the Platform require account registration. You agree to:

Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information to keep it accurate and complete;
Maintain the security of your password and accept responsibility for all activities that occur under your account;
Notify us immediately at Info@IngotInsurance.com of any unauthorized use of your account or any other security breach;
Not share your login credentials with any third party.

We reserve the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

4. Insurance Disclosures

4.1 Not Insurance Advice

The content provided on the Platform, including quotes, comparisons, and educational materials, is for informational purposes only and does not constitute insurance advice, legal advice, or financial advice. You should consult with a licensed insurance professional to determine what coverage is appropriate for your specific circumstances.

4.2 Quote Accuracy

Insurance quotes provided through the Platform are estimates based on information you provide and are not guarantees of final premium rates. Actual premiums are determined by insurance carriers following underwriting review and may differ from quotes. All rates, coverage terms, and availability are subject to change.

4.3 Policy Terms Control

In the event of any conflict between information on the Platform and the terms of any insurance policy, the insurance policy document shall control. Always review your policy documents carefully upon receipt. You have the right to cancel coverage within any applicable free-look period.

4.4 Licensing Disclosure

Ingot Capital Insurance and its licensed agents are compensated through commissions and fees paid by insurance carriers. This compensation does not increase your premium. A full list of our state licenses is available upon request at Info@IngotInsurance.com.

5. User Obligations and Prohibited Conduct

5.1 Accurate Information

You agree to provide truthful, accurate, and complete information when using the Platform, including when requesting quotes, applying for coverage, or filing claims. Misrepresentation or omission of material facts in connection with an insurance application or claim may constitute insurance fraud, which is a crime subject to criminal prosecution and civil penalties.

5.2 Prohibited Uses

You agree not to use the Platform to:

Submit false, misleading, or fraudulent information;
Engage in any form of insurance fraud or misrepresentation;
Violate any applicable federal, state, or local law or regulation;
Infringe upon the intellectual property rights of Ingot Capital Insurance or any third party;
Transmit any harmful, offensive, or disruptive content;
Attempt to gain unauthorized access to any portion of the Platform or its related systems;
Use automated means (bots, scrapers, spiders) to access or collect data from the Platform without our express written permission;
Interfere with or disrupt the integrity or performance of the Platform;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Use the Platform for any purpose that is unlawful or prohibited by these Terms.

6. Privacy and Data Practices

Your privacy is important to us. Our Privacy Policy, available at ingotinsurance.com/privacy, describes how we collect, use, share, and protect your personal information, including non-public personal information ("NPPI") as defined under applicable state and federal insurance privacy laws (including the Gramm-Leach-Bliley Act).

By using the Platform, you consent to our data practices as described in the Privacy Policy. You have rights with respect to your personal data, including rights of access, correction, and deletion, subject to applicable law and certain exceptions.

We may share your information with licensed insurance carriers and agents for the purpose of obtaining quotes and facilitating coverage. We will not sell your personal information to unaffiliated third parties for their own marketing purposes without your consent.

7. Intellectual Property

7.1 Ownership

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Ingot Capital Insurance Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in connection with obtaining insurance services.

7.3 Restrictions

You may not:

Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Platform without our prior written consent;
Use any Ingot Capital Insurance trademarks, logos, or service marks without our prior written consent;
Remove or alter any proprietary notices or labels on the Platform.

8. Third-Party Links and Services

The Platform may contain links to third-party websites, including insurance carrier portals, payment processors, and other service providers. These links are provided for your convenience only. We do not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party websites or services.

Your interactions with third-party websites and services are governed by those parties' own terms and privacy policies. We encourage you to review those policies before engaging with any third-party site.

9. Disclaimers of Warranties

THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INGOT CAPITAL INSURANCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

INGOT CAPITAL INSURANCE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) DEFECTS WILL BE CORRECTED; (C) THE PLATFORM OR THE SERVERS MAKING IT AVAILABLE ARE FREE OF VIRUSES OR HARMFUL COMPONENTS; OR (D) INFORMATION ON THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INGOT CAPITAL INSURANCE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO INGOT CAPITAL INSURANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

The foregoing limitations do not apply to liability for fraud, gross negligence, willful misconduct, or to the extent prohibited by applicable law, including applicable consumer protection laws.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ingot Capital Insurance and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms;
Your use of the Platform in a manner not expressly authorized by these Terms;
Your violation of any applicable law or regulation;
Any fraudulent or misrepresentative information you provide;
Your infringement of any third-party rights, including intellectual property or privacy rights.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal proceeding, you agree to first contact Ingot Capital Insurance at Info@IngotInsurance.com and attempt to resolve the dispute informally for a period of no less than thirty (30) days.

12.2 Arbitration Agreement

EXCEPT FOR CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF OR CLAIMS REGARDING INTELLECTUAL PROPERTY RIGHTS, ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES.

The arbitration shall be conducted in English, seated in the state where Ingot Capital Insurance is domiciled, unless applicable law requires otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND INGOT CAPITAL INSURANCE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the state in which Ingot Capital Insurance is domiciled, without regard to its conflict of law provisions, and subject to applicable federal law.

To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Ingot Capital Insurance's state of domicile.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violation of these Terms. Upon termination:

Your right to use the Platform immediately ceases;
We may delete your account and associated data subject to our Privacy Policy and applicable law;
Sections 5, 6, 7, 9, 10, 11, 12, and 15 shall survive termination.

You may terminate your account at any time by contacting us at Info@IngotInsurance.com. Termination of your account does not affect any insurance policies you have purchased, which remain subject to their own terms.

14. Electronic Communications Consent

By creating an account or using the Platform, you consent to receive electronic communications from Ingot Capital Insurance, including notices, disclosures, policy documents, billing statements, and marketing materials via email, text message, or through the Platform.

You may opt out of marketing communications at any time by following the unsubscribe instructions in any marketing email or by contacting us at Info@IngotInsurance.com. Please note that opting out of marketing communications will not affect your receipt of transactional or legally required communications.

Electronic records and signatures used in connection with the Platform shall have the same legal effect as paper records and handwritten signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.

15. Regulatory Compliance

Ingot Capital Insurance is subject to regulation by state insurance departments. Nothing in these Terms shall be construed to limit or waive any rights or protections you may have under applicable state insurance laws and regulations.

If you have a complaint that cannot be resolved through our internal dispute resolution process, you may contact your state's Department of Insurance. Contact information for your state's insurance regulator is available at the National Association of Insurance Commissioners (NAIC) website.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and Ingot Capital Insurance concerning the Platform and supersede all prior and contemporaneous understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

We will not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, governmental action, or failure of the internet or telecommunications infrastructure.

16.6 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
